The words of which the initial letter is capitalised have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

• License Grant The permission granted to the user to use the SDK under specific terms and conditions.
• Privacy Policy A separate document outlining how user data is collected, used, and protected.
• SDK Software Development Kit, a set of software tools and libraries that developers use to create applications for a specific platform or framework.
• User Refers to any individual or entity using the SDK.

2. Acceptance of Terms

By using the SDK provided by iPrescribe Exercise Digital Ltd, trading as “EXI”, You agree to abide by these Terms of Use. If You do not agree with any part of these terms, please do not use our SDK.

3.   Restrictions

You may not:

• Modify, reverse engineer, decompile, or disassemble the SDK.
• Use the SDK for any illegal, harmful, or unethical purpose.
• Distribute or sublicense the SDK without EXI’s written consent.
• Remove or alter any copyright or proprietary notices.

4.   Privacy & Data Protection

You must comply with all applicable data protection and privacy laws when using our SDK. This includes obtaining necessary user consents and protecting user data as outlined in EXI’s Privacy Policy.

5. Support & Updates

EXI is committed to providing support and updates for the SDK to enhance its functionality and security. Users may access the following support and updates provisions:

• Support: EXI will offer reasonable technical support to address issues related to the SDK. Users can contact our support team at info@exi.life for assistance during business hours.
• Updates: EXI may release periodic updates to the SDK. These updates may include bug fixes, improvements, or new features. It is the user’s responsibility to ensure they are using the latest version of the SDK for optimal performance and security.

6. Intellectual Property

All intellectual property rights related to the SDK, including patents, copyrights, and trademarks, remain the exclusive property of iPrescribe Exercise Digital Ltd (“EXI”). Users shall not acquire any ownership rights.

7. Termination

EXI reserves the right to terminate this agreement under certain circumstances:

• Termination by User: Users may terminate this agreement at any time by discontinuing the use of the SDK and destroying all copies in their possession.
• Termination by EXI: EXI may terminate this agreement if users violate these terms or engage in conduct that hinders the proper functioning of the SDK. In such cases, users will be notified of the termination, and they must cease using the SDK immediately.

8. Disclaimers

EXI provides the SDK “as is” without any warranties, express or implied. EXI is not responsible for any damage or loss resulting from the use of the SDK.

9. Limitation of Liability

To the maximum extent permitted by law, iPrescribe Exercise Digital Ltd (“EXI”) shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of the SDK.

10. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of London.

11. Changes to Terms

EXI reserves the right to modify these terms at any time. Users will be notified of significant changes, but it is their responsibility to review the terms periodically.
